Senior Commercial Counsel

Job Description
We’re hiring a senior commercial contracts attorney (4–15 years of experience) to serve as both a client-facing legal advisor and a core contributor to our platform. This is a hybrid role combining traditional legal practice with product-minded thinking, working directly with private equity firms, large public companies, and startup clients while helping shape how legal services are delivered through our system. You’ll operate across a broad range of commercial contracting work, with deep exposure to confidentiality agreements, services and technology agreements, reliance and engagement letters, and event agreements. In parallel, you’ll work closely with engineering and product to translate legal expertise into scalable workflows, playbooks, and platform features. This role is best suited for a business-minded attorney who has strong judgment, is a strong team player, is comfortable owning sophisticated client relationships, and is excited about rethinking how legal services are built and delivered.
What you will do:
- Serve as lead counsel for private equity firms, large public companies, and startups across commercial and transactional matters
- Use a first-in-class AI tech stack (VectorOS) that creates significant efficiencies in your work product and workflow. VectorOS is a true game-changer.
- Draft, review, and negotiate a wide range of commercial contracts, including NDAs, B2B and joinder agreements, leases, master and consulting services agreements, statements of work, data privacy agreements (DPAs) and business associate agreements (BAAs), reliance and non-reliance letters, engagement letters (advisor and investment bank/broker), and event, speaker, and sponsorship agreements.
- Draft, review and negotiate technology agreements such as SaaS, PaaS, and AI licensing agreements, along with terms of service and privacy policies
- Build, use, and improve legal playbooks, templates, and best practices across these document types
- Collaborate with product and engineering to translate legal workflows into platform features
- Contribute to the constant improvement of scalable, repeatable legal processes
- Support and mentor junior attorneys and contract managers
- Maintain professional, high-quality standards while operating in a fast-paced, tech-enabled environment
Qualifications:
- JD and active membership in the California or Colorado Bar (or eligibility to register as in-house counsel)
- 4–15 years of experience at a law firm or in-house legal team focused on commercial transactions
- Strong commercially-minded team member
- Strong expertise across commercial contracting, including confidentiality, services, and technology agreements
- Hands-on experience with the document types above, including NDAs, master and services agreements, SOWs, SaaS/PaaS and AI licensing, DPAs and BAAs, leases, reliance and engagement letters, and event agreements
- Experience advising private equity firms, large public companies, and high-growth startups
- Demonstrated ability to manage sophisticated client relationships and operate autonomously
- Strong drafting, negotiation, and issue-spotting skills
- Interest in legal technology and building scalable systems required
